Terms of Service
Binding contract between you and MintByte Investment Services Private Limited governing your use of mintbyte.com and the Services.

These Terms of Service ("Terms") are a binding contract between you ("you", "your") and MintByte Investment Services Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at HD-327, WeWork Oberoi Commerz II, 20th Floor, CTS No. 95, Off W. E. Highway, Oberoi Garden City, Goregaon East (D2), Mumbai 400063 (CIN: U66190MH2024PTC434330) ("MintByte", "we", "us", "our").
By accessing or using www.mintbyte.com (the "Website") or any service made available through the Website (the "Services"), you confirm that (a) you are at least 18 and competent to contract under Indian law, (b) you have read, understood and agreed to these Terms, the Privacy Policy, the Disclaimer, the Disclosures and any other policy referenced from the Website, and (c) if you access on behalf of an entity, you have authority to bind that entity.
If you do not agree, please do not access or use the Website or the Services.
1. Scope of Services
Through the Website, we make available non-discretionary distribution services for the financial products described in our Disclosures — mutual funds, PMS products, AIFs (subject to eligibility), NPS, bonds, NCDs, SGBs, government securities, insurance-linked products (referral basis), stock-broking and demat services (referral basis), and US-stocks / global products (via authorised partners and within RBI / SEBI limits).
Until SEBI registrations as Investment Adviser and Research Analyst are granted, we do not offer investment-advisory or research-analyst services through the Website. The Content is published as general financial-literacy material; it is not personalised to your circumstances.
We may modify, suspend or discontinue any portion of the Services at any time, with or without notice, for technical, regulatory or business reasons. We will not be liable for any such modification, suspension or discontinuance.
2. Eligibility and Account Registration
You must be a resident of India or a Non-Resident Indian / PIO / OCI authorised under FEMA 1999 to use the Services. To transact, you may be required to complete KYC and AML checks under PMLA 2002, SEBI KYC norms, the KRA framework and, where applicable, CKYC and Aadhaar-based e-KYC frameworks.
You agree to provide true, accurate, current and complete information during registration and to update promptly upon any change. You are responsible for all activity carried out under your account.
We reserve the right to refuse or terminate your account, or to restrict your access, at our sole discretion — in particular where required by law, where information provided is false or misleading, or where continued use would expose us to regulatory, legal, reputational or financial risk.
3. Charges, Fees and Commissions
The Website itself is free for browsing. Charges, fees or commissions may apply to specific transactions or services:
- AMC / scheme expenses (Total Expense Ratio, exit load, etc.) for mutual fund schemes — disclosed in the Scheme Information Document
- PMS / AIF manager fees — disclosed in the Portfolio Manager's Disclosure Document or the AIF's Information Memorandum
- Brokerage, demat charges, stamp duty, statutory levies and exchange fees for stock-broking — disclosed by the SEBI-registered partner
- Payment-gateway fees where applicable
As a SEBI-recognised MFD, we receive commission from the AMC for schemes subscribed through us, disclosed consistent with SEBI / AMFI rules; see the Disclosures page.
If we introduce a charge for any optional service we offer directly, the applicable charge, billing cycle and cancellation terms will be clearly disclosed before you opt in.
4. Your Obligations
You agree:
a. To use the Website and Services only for lawful purposes, in good faith, and in compliance with all applicable laws (SEBI / AMFI / APMI / RBI / FEMA / Income Tax / PMLA).
b. To safeguard your account credentials and notify us immediately of any actual or suspected unauthorised use.
c. Not to upload, post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, infringing or otherwise objectionable.
d. Not to interfere with or disrupt the Website, Services or security — including by transmitting viruses, worms or other harmful code.
e. Not to attempt unauthorised access — through scraping, screen-capture, automated bots, scripts or similar tools, except as expressly permitted in writing.
f. Not to reproduce, distribute, republish, modify, frame, reverse-engineer or create derivative works for any commercial purpose, except as expressly permitted in writing.
g. To carry out independent due diligence and obtain independent professional advice from a SEBI-registered Investment Adviser, a Chartered Accountant or other qualified professional before acting on any Content or transacting through the Services.
5. Communications
You consent to receive transactional, regulatory and service-related communications from us — transaction confirmations, statements, regulatory disclosures, KYC reminders, fee notices — through email, SMS, WhatsApp, in-app notification, phone call or postal mail.
You may opt out of marketing and promotional communications at any time through the unsubscribe link in any email, by replying STOP to any SMS / WhatsApp, or by writing to [email protected]. Opting out will not affect transactional or regulatory communications.
Communications sent to the email or phone number on record will be deemed validly delivered. Keep contact details up to date.
6. Intellectual Property
All trademarks, service marks, trade names, logos, domain names, copyrights, patents and other IP in the Website, Services and Content (other than Third-Party Content) are owned by or licensed to MintByte.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Website and Services for personal, non-commercial use in accordance with these Terms.
You agree not to remove, alter, conceal or obscure any copyright, trademark, service mark or other proprietary-rights notice.
7. Third-Party Content and Services
The Services may include or link to content, applications, products or services provided by third parties ("Third-Party Content"). We do not control and are not responsible for the accuracy, completeness, reliability, legality or suitability of Third-Party Content. Your transactions or dealings with third parties are solely between you and the relevant third party.
8. Suspension and Termination
You may terminate your account at any time by writing to [email protected], subject to settlement of any pending transactions and compliance with applicable record-retention requirements.
We may suspend or terminate your account or your access to the Services, at our sole discretion, with or without notice, if: (a) you breach these Terms, (b) we are required to do so by law, regulation, court order or regulatory instruction, (c) continued provision of the Services would expose us to risk, or (d) the Services are discontinued.
Provisions that by their nature should survive termination (IP, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution) shall survive.
9. Disclaimer of Warranties
To the maximum extent permitted by law, the Website, Services and Content are provided "as is" and "as available", without warranty of any kind — express, implied or statutory — including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, currency, timeliness, security, or uninterrupted availability.
We do not warrant that the Website or Services will be uninterrupted, error-free or free from viruses, or that defects will be corrected.
10. Limitation of Liability
To the maximum extent permitted by law, MintByte and its directors, officers, employees, agents, partners and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages (including loss of profits, revenue, opportunity, data, goodwill or economic loss) arising out of or in connection with these Terms or your use of the Website, Services or Content.
Nothing in this Section limits or excludes (a) liability arising from MintByte's own fraud, gross negligence or wilful misconduct, (b) any liability that cannot lawfully be limited or excluded under applicable Indian law including the Consumer Protection Act, 2019, the DPDP Act, 2023 and SEBI / AMFI / APMI regulations, or (c) any statutory remedy under SEBI investor-grievance, SCORES or Smart ODR frameworks.
11. Indemnity
You agree to indemnify, defend and hold harmless MintByte, its directors, officers, employees, agents, partners and licensors from and against any claims, demands, suits, proceedings, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with (a) your breach of these Terms, the Privacy Policy or any other policy referenced from the Website, (b) your violation of any law or any right of any third party, (c) any misrepresentation or breach of warranty made by you, or (d) your gross negligence or wilful misconduct.
12. Force Majeure
We shall not be liable for any failure to perform, or delay in performing, our obligations due to any event beyond our reasonable control — acts of God, acts of any government, war, terrorism, riot, civil disturbance, strikes, lockouts, pandemics, epidemics, fires, floods, earthquakes, power failures, telecommunications failures, internet failures or cyber-attacks.
13. Investor Grievance Redressal
See the escalation matrix in Disclosures §9. You may also approach the SEBI SCORES portal and the Smart ODR portal for unresolved complaints relating to securities-market intermediaries.
14. Governing Law and Dispute Resolution
These Terms shall be governed by, and construed in accordance with, the laws of India.
Any dispute, controversy or claim shall first be attempted to be resolved amicably between the parties in good faith. If not resolved within 30 days of one party notifying the other in writing, the dispute shall be referred to and finally resolved by arbitration administered by a sole arbitrator appointed by MintByte, in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be Mumbai, Maharashtra. The language of arbitration shall be English. The arbitral award shall be final and binding.
Notwithstanding the above, MintByte shall be entitled to seek injunctive or equitable relief from any court of competent jurisdiction to prevent breach or threatened breach of these Terms or to protect its IP or confidential information.
Subject to the arbitration agreement above, the courts at Mumbai, Maharashtra have exclusive jurisdiction over any matter not subject to arbitration.
15. General
Entire agreement. These Terms, together with the Privacy Policy, the Disclaimer, the Disclosures and any other policy referenced from the Website, constitute the entire agreement.
Severability. If any provision is held unlawful, invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force.
No waiver. Our failure to enforce any provision does not constitute a waiver.
Assignment. You may not assign without our prior written consent. We may assign to an affiliate, successor or acquirer of all or part of our business.
Notices. Notice to MintByte must be in writing and delivered to our registered office or [email protected]. Notices to you may be given by email, SMS, in-app notification or postal mail on the contact details on record.
Amendments. We may amend from time to time. Material changes notified via prominent notice on the Website. Continued use after the effective date constitutes acceptance.
